These Terms of Service ("Terms") are a legal agreement between RevENGINE Samora Private Limited, trading as Samora Global ("Samora", "we", "us"), and the organisation that subscribes to SamoraTrack ("Customer", "you"). By creating an account, connecting a mailbox, or using the Service, you accept these Terms. If you accept on behalf of an organisation, you confirm you have authority to bind it.
SamoraTrack is a hosted revenue intelligence platform that verifies pipeline, derives deal signals from your connected mailbox and calendar, produces coaching alerts and coverage checks, and supports outreach campaigns. We grant you a non exclusive, non transferable, revocable right to use the Service during your subscription term, for your internal business purposes only.
Fees, seat counts, billing frequency and the subscription term are set out in the order form or plan you accept. Unless that document says otherwise: fees are payable in advance, invoices are due within 30 days, subscriptions renew automatically for successive terms unless either party gives 30 days' written notice before the end of the current term, and fees are exclusive of taxes, which you are responsible for. We may suspend the Service for accounts more than 30 days overdue after written notice. Fees paid are non refundable except where these Terms or applicable law say otherwise.
You will not, and will not permit anyone to:
Where you use the Service to send email through your own connected mailbox, you remain the sender in law. You are responsible for complying with anti spam and marketing rules that apply to you, including the CAN SPAM Act, the GDPR and ePrivacy rules, and equivalent local law. In particular you will: have a lawful basis or consent for each recipient, identify yourself truthfully, honour opt out requests promptly, and respect the sending limits and policies configured in the Service.
We may suspend sending features if we receive credible complaints of abuse.
You own your data. You grant us a limited licence to host, process and transmit it solely to provide, secure and support the Service.
Our handling of personal data is described in the Privacy Policy, which forms part of these Terms. In relation to personal data in your account you are generally the controller and we are the processor. We do not use your data to train generalised machine learning or artificial intelligence models, and we never use data received from Google APIs for that purpose.
You can export your data at any time from the interface. On termination we make your data available for export for 30 days, then delete or anonymise it as described in the Privacy Policy.
The Service integrates with third party services including Google Workspace, Microsoft 365, sequencing, enrichment, meeting notetakers and AI providers. Those services are operated by their providers under their own terms, they are not part of the Service, and we are not responsible for their availability, accuracy, or acts. If you supply your own provider key you are responsible for that provider's fees and for your compliance with its terms.
Scores, signals, forecasts, coaching alerts and AI generated research are decision support, not guarantees. Every number in SamoraTrack shows its evidence so you can check it. You remain responsible for decisions you take, including forecasts you submit, deals you prioritise, and messages you send.
AI generated research may be incomplete or wrong. Verify anything material before relying on it.
We aim to keep the Service available and to give reasonable notice of planned maintenance. Unless a separate service level agreement is in place, the Service is provided without an availability commitment. Support is provided by email at vasu@samoraglobal.com during business hours.
Each party will protect the other's non public information with at least reasonable care, use it only for the purposes of these Terms, and disclose it only to staff and advisers who need it and are bound by similar duties. This does not apply to information that is public, independently developed, lawfully received from a third party, or required to be disclosed by law, provided reasonable notice is given where lawful.
Samora and its licensors own the Service, its software, scoring methods, interfaces, documentation and trade marks. No rights are granted except those expressly stated. Feedback you give us may be used freely to improve the Service, without obligation to you.
To the fullest extent permitted by law, the Service is provided "as is" and "as available". We disclaim all implied warranties, including merchantability, fitness for a particular purpose, non infringement, and any warranty that the Service will be uninterrupted, error free, or that results will be accurate or complete.
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill, or data, however caused. Each party's total aggregate liability arising out of or relating to these Terms is limited to the fees paid or payable by you to us in the 12 months before the event giving rise to the claim.
Nothing in these Terms limits liability that cannot be limited by law, including for fraud, wilful misconduct, or death or personal injury caused by negligence.
You will defend and indemnify us against third party claims arising from your data, your use of the Service in breach of these Terms or applicable law, or emails sent through the Service by your users. We will defend and indemnify you against third party claims that the Service, used as permitted, infringes their intellectual property rights.
We improve the Service continuously and may change features. We will not materially reduce core functionality during a paid term without notice. We may update these Terms, and will give administrators at least 30 days' notice of material changes by email or in product. Continued use after the effective date means you accept the updated Terms.
These Terms are governed by the laws of India, without regard to conflict of laws rules. The courts at Chandigarh, India have exclusive jurisdiction, and each party submits to that jurisdiction. Before filing a claim, the parties will attempt in good faith to resolve the dispute by discussion between senior representatives for 30 days.
These Terms, with the Privacy Policy and any order form, are the entire agreement between the parties on this subject. If a provision is held unenforceable, the rest remains in force. Neither party may assign these Terms without the other's consent, except to a successor in a merger or sale of substantially all assets. Failure to enforce a right is not a waiver. Neither party is liable for delays caused by events beyond its reasonable control.
